These Terms & Conditions (“Terms”) govern access to and use of the Proofpack application and related services (the “Service”), operated by Cloudwise (“Cloudwise”, “we”, “us”, “our”).

By creating an account, purchasing a subscription, or using the Service, you (“Customer”, “you”) agree to these Terms. If you use the Service for an organization, you confirm you have authority to bind that organization.
If you do not agree, do not use the Service.
1) Definitions
- EAAmeans the European Accessibility Act and relevant national implementations, and accessibility standards commonly used for compliance assessment.
- Websitemeans the domain(s), URLs, pages, and related web assets you submit to the Service for scanning.
- Scanmeans an automated assessment performed by the Service against the Website.
- Outputsmeans the results of a Scan, including scores, findings, recommendations, reports, and dashboards.
- Contentmeans the Website details you provide (URLs/domains) and any in-app notes you optionally add (if applicable).
2) Scope of the Service
2.1 What the Service does
The Service scans Websites you add, performs automated accessibility checks, and provides Outputs such as:
- accessibility scores and issue summaries,
- prioritized recommendations to improve accessibility,
- historical scan results and trend views (if available).
2.2 What the Service does not do
The Service:
- does not provide legal advice,
- does not certify compliance,
- does not guarantee that a Website is compliant with the EAA or any standard,
- does not process customer file uploads as part of its normal operation.
2.3 Changes to the Service
We may update, add, modify, or remove features, and may adjust scanning rules as standards and best practices evolve. We will use reasonable efforts to avoid materially reducing core paid functionality without notice.
3) No legal advice; no guarantee of compliance
3.1 Not legal advice. The Service and Outputs are informational and technical in nature and do not constitute legal advice or a legal opinion.
3.2 No guarantee. Accessibility compliance depends on many factors beyond automated scanning (including user journeys, dynamic content, assistive technology behavior, content authoring practices, and third-party embeds). We do not guarantee that using the Service or following recommendations will make your Website compliant with the EAA or any standard.
3.3 Your responsibility. You are responsible for determining applicable legal requirements, implementing changes, and validating compliance using appropriate testing (including manual testing where relevant).
4) Accounts and security
4.1 You must provide accurate account information and keep it updated.
4.2 You are responsible for safeguarding credentials and for all activity under your account.
4.3 If you suspect unauthorized access, contact us promptly at info@proofpack.eu.
5) Website ownership, permissions, and acceptable use
5.1 Permission to scan. You must own the Website or have authorization to scan it. You agree not to use the Service to scan third-party websites without permission.
5.2 Prohibited use. You may not:
- interfere with or disrupt the Service (including abuse of rate limits),
- probe, scan, or test the vulnerability of the Service itself,
- attempt to access non-public areas, accounts, or data,
- reverse engineer the Service except where prohibited by law,
- use the Service for unlawful, infringing, or abusive purposes.
5.3 Fair use limits. We may apply reasonable technical limits (e.g., scan frequency, pages per scan) by plan to protect Service reliability.
6) Customer Content and licenses
6.1 Your ownership. You retain ownership of your Customer Content.
6.2 License to operate. You grant Cloudwise a limited, non-exclusive, worldwide license to access and process the Website solely to perform Scans, generate Outputs, and maintain/improve the Service.
6.3 Responsibility for content scanned. You are responsible for ensuring your Website content and your use of the Service complies with applicable law.
7) Outputs and permitted use
7.1 Use of Outputs. You may use Outputs internally for your accessibility improvement efforts and compliance management.
7.2 No certification claims. You may not represent that Cloudwise or the Service has “certified” your Website as compliant unless you have a separate written agreement.
7.3 Reliance. You acknowledge that automated checks are limited and that Outputs may be incomplete or contain false positives/negatives.
7.4 Data Retention. We store the Audit report evidence (Outputs) for up to 1 year from the scan date. After this period, they will be permanently deleted from our systems.
8) Subscriptions, billing, and taxes
8.1 Plans. Pricing, feature limits, and included usage are described on our website.
8.2 Auto-renewal. Subscriptions renew automatically unless cancelled before the renewal date.
8.3 Payment processing. Payments may be handled by a third-party payment processor.
8.4 Taxes. Prices exclude VAT unless stated otherwise.
8.5 Non-payment. We may suspend or terminate access for overdue amounts.
9) Trials, cancellation, and refunds
9.1 Trials. Trial terms are shown at sign-up and may be withdrawn for abuse.
9.2 Cancellation. You may cancel at any time, taking effect at the end of the billing period.
9.3 Refunds. Fees are non-refundable except where required by law.
10) Availability and support
The Service is provided “as available”. Outages, maintenance, and changes may occur. Support channels depend on your plan.
11) Third-party services
The Service relies on third-party infrastructure. We are not responsible for third-party outages or changes beyond our control.
12) Intellectual property
Cloudwise owns the Service and its intellectual property. We grant you a limited license to use the Service during your subscription.
13) Confidentiality
Each party will use reasonable care to protect the other’s confidential information.
14) Privacy and data protection
Our handling of personal data is described in our Privacy Policy. The Service scans Websites you provide and may incidentally process publicly available personal data.
15) Security
We implement reasonable technical and organizational measures to protect the Service. No system is perfectly secure.
16) Warranties disclaimer
To the maximum extent permitted by law, the Service and Outputs are provided “as is” and “as available”.
17) Limitation of liability
Cloudwise is not liable for indirect damages or reputational harm. Total liability is limited to the fees paid in the last 12-month period.
18) Indemnity (B2B)
You will indemnify Cloudwise against claims arising from your unauthorized scanning or compliance failures.
19) Suspension and termination
We may terminate access for breach, misuse, or non-payment.
20) Changes to these Terms
We may update these Terms and will provide notice for material changes.
21) Governing law and jurisdiction
These Terms are governed by the laws of Denmark, and disputes will be subject to the exclusive jurisdiction of the courts of Denmark.
22) Miscellaneous
These Terms form the entire agreement between you and Cloudwise regarding the Service.
