These Terms & Conditions (“Terms”) govern access to and use of the ProofPack application and related services (the “Service”), operated by ProofPack (“ProofPack”, “we”, “us”, “our”).

The Service is offered only to businesses, organizations, and persons acting for purposes related to their trade, business, or profession. The Service is not intended for consumer use. By creating an account, purchasing a subscription, or using the Service, you (“Customer”, “you”, “your”) agree to these Terms and represent that you are acting in a business or professional capacity. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

1) Definitions

  • EAAmeans the European Accessibility Act and, where applicable, national laws implementing it, solely to the extent relevant to the scope of the automated checks expressly supported by the Service from time to time. References to the EAA in the Service, Outputs, or these Terms do not mean that the Service performs a complete legal compliance assessment or assesses every legal requirement, exception, sector-specific obligation, or manual testing requirement that may apply to a particular Website.
  • Websitemeans the domain(s), URL(s), pages, and related public-facing web assets that you submit to the Service for scanning or assessment.
  • Scanmeans an automated assessment performed by the Service against a Website using the checks, rules, and technical criteria supported by the Service at the time of the Scan.
  • Outputsmeans the results of a Scan, including scores, findings, reports, dashboards, summaries, issue lists, trends, and recommendations.
  • Customer Contentmeans the Website details you provide to the Service, including URLs, domains, and any notes or related information you choose to add within the Service.

2) Scope of the Service

2.1 What the Service does

The Service is an automated accessibility assessment and compliance-support tool. It scans Websites you add, performs automated technical checks against the rules and checks supported by the Service at the time of the Scan, and provides Outputs such as:

  • accessibility scores and issue summaries,
  • prioritized recommendations intended to help identify likely accessibility gaps,
  • historical scan results and trend views, where available.

The Service is designed to support accessibility review, remediation planning, and internal compliance-management workflows. It does not replace legal review, expert accessibility review, manual testing, usability testing, or testing with assistive technologies.

2.2 What the Service does not do

The Service:

  • does not provide legal advice, legal interpretation, or legal opinions,
  • does not certify that a Website complies with the EAA, WCAG, or any other law, regulation, standard, or guidance,
  • does not guarantee that a Website is compliant, accessible, risk-free, or enforcement-proof,
  • does not replace manual accessibility testing, user testing, expert review, or review by legal counsel,
  • may produce incomplete results and may include false positives, false negatives, or findings that require human validation,
  • does not process customer file uploads as part of its normal operation, unless expressly stated otherwise in a specific feature or written agreement.

2.3 Changes to the Service

We may update, add, modify, suspend, or remove features of the Service from time to time, including scanning rules, scoring logic, product functionality, and plan limits, as standards, best practices, or technical requirements evolve. We will use reasonable efforts not to materially reduce core paid functionality without notice.

3) No legal advice; no guarantee of compliance

3.1 Not legal advice. The Service and Outputs are provided for informational and technical support purposes only and do not constitute legal advice, legal analysis, legal interpretation, or a legal opinion.

3.2 No certification or guarantee. The Service is an automated compliance-support tool only. ProofPack does not certify, warrant, or represent that any Website is compliant with the EAA, WCAG, or any other legal or technical requirement. A Scan reflects only the automated checks performed by the Service at the time of the Scan and cannot account for all legal, technical, contextual, functional, or user-experience factors relevant to accessibility or compliance.

3.3 Manual validation required. Accessibility and legal compliance require context-specific assessment and may require manual review, expert accessibility testing, assistive technology testing, usability testing, and legal review. You are solely responsible for determining which requirements apply to your Website and for validating compliance through appropriate means.

3.4 No sole reliance. You must not rely on the Service or any Output as the sole basis for concluding that a Website is legally compliant or fully accessible.

4) Accounts and security

4.1 Account information. You must provide accurate, complete, and current account information and keep it updated.

4.2 Credential security. You are responsible for safeguarding your login credentials and for all activity occurring under your account.

4.3 Unauthorized access. If you suspect unauthorized access to your account or any security issue affecting the Service, you must notify us promptly at info@proofpack.eu.

5) Website ownership, permissions, and acceptable use

5.1 Authority to scan. You may use the Service only in relation to Websites that you own, control, operate, or are expressly authorized to assess. By submitting a Website to the Service, you represent and warrant that you have all rights, permissions, and legal authority necessary for ProofPack to access, scan, analyze, and process that Website for the purpose of providing the Service.

You are solely responsible for obtaining and maintaining any permissions, notices, approvals, or contractual rights required to use the Service in relation to a Website. ProofPack has no responsibility to verify your authority.

5.2 Prohibited use. You may not:

  • interfere with, disrupt, or misuse the Service, including through abuse of rate limits or excessive automated usage beyond your plan,
  • probe, scan, test, or attempt to discover vulnerabilities in the Service itself,
  • attempt to gain unauthorized access to non-public areas, accounts, systems, or data,
  • use the Service to assess, monitor, or profile third-party Websites without authorization,
  • use the Service in a manner that could reasonably be expected to cause excessive load, service disruption, or unauthorized access attempts against any Website or system,
  • reverse engineer, decompile, disassemble, copy, or create derivative works of the Service, except to the extent such restriction is prohibited by applicable law,
  • use the Service for unlawful, infringing, fraudulent, abusive, or harmful purposes.

5.3 Fair use limits. We may apply reasonable technical, usage, or operational limits by plan, including limits relating to scan frequency, number of Websites, pages per scan, storage, and feature availability, in order to protect the reliability, integrity, and security of the Service.

6) Customer Content and licenses

6.1 Your ownership. As between the parties, you retain ownership of your Customer Content.

6.2 License to operate the Service. You grant ProofPack a limited, non-exclusive, revocable, non-transferable, worldwide license to access, process, analyze, store, and use your Customer Content solely as necessary to provide, maintain, secure, support, improve, and develop the Service and its related features, subject to these Terms and our Privacy Policy.

6.3 Responsibility for content and use. You are responsible for ensuring that your Customer Content, your Website, and your use of the Service comply with applicable law, contract obligations, and third-party rights.

7) Outputs and permitted use

7.1 Use of Outputs. You may use Outputs internally for your accessibility review, remediation, governance, and compliance-management purposes.

7.2 No certification claims. You may not represent, imply, advertise, or state that ProofPack or the Service has “certified” your Website as compliant unless you have a separate written agreement expressly allowing such representation.

7.3 Reliance and limitations. You acknowledge that automated checks are inherently limited and that Outputs may be incomplete or may contain false positives, false negatives, inaccuracies, or issues requiring human review.

7.4 Data retention. Unless otherwise stated in the Service or agreed in writing, we store audit report evidence and related Outputs for up to one (1) year from the Scan date, after which they may be permanently deleted from our systems.

7.5 Scores and prioritization are indicative only. Any score, rating, severity level, priority label, pass/fail indication, or similar classification generated by the Service is an internal product metric intended only to assist review and prioritization. Such metrics are not legal determinations and must not be presented as legal conclusions, formal compliance determinations, or certifications.

8) Subscriptions, billing, and taxes

8.1 Plans. Pricing, included usage, feature limits, and plan details are described on our website or within the Service and may be updated from time to time.

8.2 Auto-renewal. Paid subscriptions renew automatically for successive billing periods unless cancelled before the next renewal date.

8.3 Payment processing. Payments are processed by Stripe or another third-party payment processor we may designate. By subscribing, you also agree to the applicable payment processor’s terms and policies.

8.4 Taxes. Prices exclude VAT and other applicable taxes unless expressly stated otherwise. Applicable VAT or similar taxes will be added at checkout or invoicing based on your billing details and applicable law.

8.5 Non-payment. We may suspend, restrict, or terminate access to the Service for overdue amounts or failed payments.

8.6 Plan changes

8.6.1 Upgrades. Upgrades to a higher-tier paid plan take effect immediately upon confirmation, unless otherwise stated at checkout. A new billing cycle begins on the date of the upgrade, and you are charged immediately for the new plan.

8.6.2 Downgrades. Downgrades to a lower-tier paid plan or to the Free plan do not take effect immediately with respect to paid feature access already purchased. The downgrade is recorded when confirmed and takes effect at the end of the current billing period, unless otherwise expressly stated at the time of the downgrade.

8.6.3 No proration; no refunds. Unless required by applicable law, ProofPack does not provide prorated refunds, credits, or billing adjustments for unused time remaining in a billing period, including in connection with plan changes or cancellations.

8.6.4 Confirmation. Before a plan change is processed, you will be shown the effective date and billing consequences of that change. By confirming the plan change, you accept those consequences.

9) Trials, cancellation, and refunds

9.1 Trials. Trial terms, if any, are shown at sign-up or within the Service and may be modified, limited, or withdrawn in cases of abuse, misuse, or repeated trial circumvention.

9.2 Cancellation. You may cancel your subscription at any time through the Subscription & Billing page within the application. Cancellation stops future renewals. Unless otherwise required by applicable law, cancellation does not entitle you to a refund or credit for the current billing period already paid. Paid-tier access continues until the end of the current billing period, after which the account reverts to the Free tier or becomes subject to the limits of the applicable lower-tier plan.

9.3 Refunds. Subscription fees are non-refundable except where required by applicable law.

10) Availability and support

The Service is provided on an “as available” basis. Downtime, outages, maintenance windows, technical errors, and changes may occur. Support channels, response times, and service levels, if any, depend on your plan or any separate written agreement.

Automated accessibility testing has inherent limitations and cannot detect all accessibility barriers, legal risks, or compliance issues. Certain issues can only be identified through manual inspection, expert review, user testing, assistive technology testing, or contextual legal analysis.

11) Third-party services

The Service relies on third-party infrastructure, hosting, software, content-delivery, payment, and other service providers. ProofPack is not responsible for outages, interruptions, changes, data loss, or failures caused by third-party services beyond our reasonable control.

12) Intellectual property

ProofPack and its licensors own all right, title, and interest in and to the Service, including all related software, technology, designs, content, trademarks, branding, documentation, and intellectual property rights. Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your valid subscription term.

13) Confidentiality

Each party will use reasonable care to protect the other party’s confidential information from unauthorized use, access, or disclosure and will use such information only as necessary to perform its rights and obligations under these Terms, except where disclosure is required by law or to professional advisers under appropriate confidentiality obligations.

14) Privacy and data protection

Our handling of personal data is described in our Privacy Policy. The Service scans Websites you provide and may incidentally process publicly available personal data contained on those Websites. You are responsible for ensuring that your use of the Service, and your submission of Websites for scanning, complies with applicable data protection and privacy laws.

15) Security

We implement reasonable technical and organizational measures designed to protect the Service and related data. However, no system is perfectly secure, and we do not guarantee that the Service will be free from security incidents, unauthorized access, or vulnerabilities.

16) Warranties disclaimer

To the maximum extent permitted by applicable law, the Service and Outputs are provided “as is” and “as available,” without warranties, representations, conditions, or guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or suitability for legal compliance purposes.

17) Limitation of liability

To the maximum extent permitted by applicable law, ProofPack will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, business opportunity, goodwill, anticipated savings, data, contracts, or reputation, arising out of or related to the Service, the Outputs, or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, ProofPack’s aggregate liability arising out of or related to the Service, the Outputs, or these Terms will not exceed the total fees actually paid by you to ProofPack for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations in this section apply whether a claim is based in contract, tort, negligence, statutory duty, misrepresentation, restitution, or otherwise.

18) Indemnity (B2B)

You will defend, indemnify, and hold harmless ProofPack, its affiliates, and their respective directors, officers, employees, contractors, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your breach of these Terms,
  • your lack of authority or permission to scan a Website,
  • your unlawful, infringing, or unauthorized use of the Service,
  • your implementation, non-implementation, or misuse of Outputs,
  • any claim that your Website, content, or conduct violates applicable law or third-party rights,
  • your own compliance failures or statements made by you to third parties regarding certification or compliance.

19) Suspension and termination

We may suspend, restrict, or terminate your access to the Service immediately, with or without notice, if we reasonably believe that you have breached these Terms, misused the Service, failed to pay amounts due, created risk to the Service or other users, or acted unlawfully.

Upon termination, your right to use the Service ends immediately, except to the extent access to already-paid features continues until the end of the applicable billing period under these Terms. We may delete or disable access to data, Outputs, or account content in accordance with our retention practices and applicable law.

20) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website or within the Service, or by other reasonable means. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those updated Terms.

21) Governing law and jurisdiction

These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Denmark.

22) Miscellaneous

These Terms constitute the entire agreement between you and ProofPack regarding the Service and supersede all prior or contemporaneous understandings relating to the Service.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or of any other rights.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
